1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of Zee-Commerce Studio services and website located at www.zee-commerce.com ("Service") operated by Zee-Commerce Studio ("us", "we", or "our").

• Technical support and maintenance

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Payment Terms

All services require full payment upfront before work begins. We accept major credit cards, PayPal, and other payment methods as specified during checkout.

No Refunds: All sales are final. Due to the nature of our limited-capacity service model and custom development work, we do not offer refunds, cancellations, or rescheduling once payment is processed.

Prices are subject to change without notice. The price charged will be the price displayed at the time of purchase.

4. Project Timeline & Delivery

We operate on a limited-capacity production model with clearly defined timelines for each service tier. Project timelines are estimates and may vary based on project complexity and client responsiveness.

Delays caused by client failure to provide required materials, feedback, or approvals within reasonable timeframes may result in project timeline extensions.

Final deliverables will be provided upon project completion. We retain the right to determine when a project meets completion criteria.

5. Intellectual Property Rights

Upon full payment and project completion, you will own the final website design and content you provided. However, Zee-Commerce Studio retains ownership of:

• Proprietary development processes and methodologies
• Custom code frameworks and templates
• Business strategies and operational systems

You may not reverse engineer, copy, or redistribute any proprietary elements of our development process.

6. Client Responsibilities

You are responsible for:

• Providing all necessary content, images, and materials in a timely manner
• Ensuring you have proper rights to all content you provide
• Responding to our communications and requests within reasonable timeframes
• Maintaining your own Shopify account and hosting
• Complying with all applicable laws and regulations

7. Limitation of Liability

Zee-Commerce Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any and all claims relating to our services shall not exceed the amount you paid for the specific service giving rise to the claim.

8. Warranties Disclaimer

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the service will cease immediately. All provisions which by their nature should survive termination shall survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New York, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of New York.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
